Terms of Service

1. Who you are contracting with

The ToolNest service (the "Service") is operated by The Ultimate Toolkit Hub("we", "us", "our"), trading as ToolNest. By using the Service you are entering into a binding agreement with The Ultimate Toolkit Hub.

2. Acceptance

By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation.

3. Acceptable use

You must not: (a) use the Service to process unlawful, infringing, or harmful content; (b) attempt to gain unauthorised access, probe, scan, or interfere with the Service's security; (c) use automation to exceed your plan's limits or scrape the Service; (d) reverse-engineer, decompile, or attempt to extract source code; (e) resell or redistribute the Service without our written consent.

4. Intellectual property & licence

The Service, including all software, tool implementations, designs, copy, branding, and documentation, is owned by The Ultimate Toolkit Hub and protected by intellectual property law. Subject to these Terms and your active plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal or personal use. All rights not expressly granted are reserved. You retain ownership of any content or files you upload; you grant us only the limited rights needed to host and process that content to deliver the Service.

5. Subscriptions & billing

Pro and Business plans renew monthly or annually until cancelled. You can cancel at any time and access continues to the end of the paid period. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are also governed by the Paddle Buyer Terms.

6. Refunds

We offer a 14-day money-back guarantee for new subscriptions. Refunds are processed by Paddle — visit paddle.net or email support@toolnest.app.

7. Suspension & termination

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, where: (a) you materially breach these Terms or our Acceptable Use rules; (b) payment is overdue or a chargeback is raised; (c) your use creates a security, legal, or fraud risk to us, other users, or third parties; or (d) we are required to do so by law. You may stop using the Service and close your account at any time. On termination, your licence to use the Service ends; sections relating to IP, liability, and payment obligations survive.

8. Service availability & warranties

The Service is provided "as is" and "as available". We do not guarantee that the Service will be uninterrupted, error-free, or meet every requirement. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill. Our total aggregate liability is capped at the amount you paid us in the 12 months before the claim. Nothing in these Terms limits liability for fraud, death, or personal injury where that limitation is prohibited by law.

10. Changes

We may update these Terms from time to time. For material changes, we will notify Pro and Business subscribers by email. Continued use of the Service after changes take effect constitutes acceptance.
